Commercial due diligence for PE and corporate acquirers

Assignment: Specialist Radiotherapy

We undertook strategic due diligence of a specialist radiotherapy business on behalf of a trade buyer, including analysis of the vendor due diligence pack and independent market investigation.


Assignment: Pathology Supplies

We undertook a range of UK and International customer interviews on behalf of a PE fund that subsequently invested in a specialist microbiology equipment supplier.


Assignment: PPU Partnership Opportunity

We advised an International hospital group which was considering investing in creating a private patient facility on an NHS hospital site.  We undertook a review of demand within the catchment, competition, contractual conditions indicated by the NHS organisation and other commercial opportunities and risks.  This led to a decision not to bid.


Assignment: Private Hospital Acquisition

We advised an NHS Acute Organisation, working as part of a larger system, considering acquiring a loss-making private hospital to provide additional capacity.  This involved working closely with internal stakeholders to build a financial model and business case, and building consensus on the bid-offer with internal stakeholders.  We worked with legal advisers and potential funders to evaluate structuring options and worked with NHS England and their regional teams to build approval for the transaction.
